Job Summary
Our Winnipeg office is looking for an experienced paralegal to join our corporate team. This full-time position helps meet client and transactional deadlines, performing paralegal work related to corporate transactions. The successful candidate works independently under the supervision of a lawyer and the department manager.
Responsibilities Include:
  • Attending to online filings with Corporate Registries
  • Preparing documents with respect to incorporations/organizations, amendments, amalgamations, dissolutions, restorations, revivals, re-organizations and continuances as well as other transaction related documents
  • Preparing and filing documents for partnerships, limited partnerships, business names and extra-provincial registrations across Canada
  • Preparing documents to change the registered office, issue and transfer shares, appoint and remove directors and officers and document dividends, share redemptions and other corporate resolutions
  • Drafting documents for complex corporate reorganizations, often on a time-sensitive basis
  • Conducting minute book reviews and preparing documents to correct minute book deficiencies
  • Preparing annual documents for Manitoba, federal and extra-provincial entities
  • Conducting and reviewing corporate searches
  • Responding to daily inquiries from counsel and clients and handling day-to-day corporate matters
  • Updating and maintaining corporate records and minute books and ensuring documents comply with the applicable legislation and are entered into the database
  • Attending to file openings
  • Preparing reports and statements of account
Qualifications Include:
  • Graduate of an accredited legal program
  • Previous working experience in the area of corporate law
  • Working knowledge of computer platforms required to perform role-related tasks, including MS Word, Excel and Outlook, Emergent (or equivalent corporate database) and Aderant (or equivalent accounting program)
  • Excellent attention to detail
  • Organization skills; demonstrated initiative and ability to work independently with minimal supervision
  • Ability to meet deadlines with excellent multi-tasking and problem solving skills
  • Ability to effectively communicate and strong client service skills
